Acceptance of Terms

Welcome to ChatBridge AI. These Terms of Service ("Terms") constitute a legally binding agreement between you and ChatBridge AI ("we," "us," or "our") governing your use of our Chrome Extension and related services (collectively, the "Service").

By installing, accessing, or using ChatBridge AI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

Description of Service

ChatBridge AI is a Chrome Extension that provides the following functionality:

• Context Migration: Extract content from your ChatGPT conversations and migrate it to a new chat window
• Smart Optimization: AI-powered processing to optimize and summarize conversation context
• Mode Detection: Automatic detection of conversation types (Coder mode vs General mode)
• Usage Tracking: Monitor daily migration limits and subscription status
• Subscription Management: Access to FREE and PRO subscription tiers

Third-Party Service: ChatBridge AI is an independent tool and is not affiliated with, endorsed by, or sponsored by OpenAI or ChatGPT. The Service operates by interacting with ChatGPT's web interface through standard browser extension capabilities.

Eligibility

To use ChatBridge AI, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)
• Have a valid Google account for authentication
• Have legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Comply with all local laws regarding online conduct and acceptable content

If you are under 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

User Accounts and Registration

Google OAuth Authentication

To use ChatBridge AI, you must authenticate using your Google account through our OAuth integration. By signing in, you authorize us to access your Google ID, email address, and basic profile information as described in our Privacy Policy.

Account Security

You are responsible for:

• Maintaining the security of your Google account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

Account Restrictions

You may not:

• Share your account credentials with third parties
• Create multiple accounts to circumvent usage limits
• Use another person's account without permission
• Transfer or sell your account to another party

Subscription Plans and Pricing

FREE Tier

• Cost: Free of charge
• Daily Migrations: 3 per day
• Context Limit: 2,500 characters
• Coder Mode: Not available

PRO Tier

• Cost: Subscription fee as displayed on our website (currently charged monthly)
• Daily Migrations: 20 per day
• Context Limit: 60,000 characters
• Coder Mode: Enabled

Payment Processing

All payments are processed through Paddle, our third-party payment processor and Merchant of Record. Paddle is responsible for handling all payment transactions, billing, VAT/sales tax compliance, and refunds globally. By subscribing to PRO, you agree to Paddle's Terms of Service and authorize recurring charges to your payment method.

Taxes: All prices are exclusive of applicable taxes. Paddle will automatically calculate and collect any required VAT, sales tax, or GST based on your location at checkout.

Billing and Renewal

• Recurring Billing: PRO subscriptions auto-renew on a monthly basis unless cancelled
• Price Changes: We reserve the right to modify subscription pricing with 30 days' notice
• Cancellation: You may cancel your subscription at any time through the Paddle billing portal (link sent via email) or by contacting support at evgeniy.kalenichenko@zohomail.eu. To avoid being charged for the next billing period, you must cancel at least 48 hours before the end of your current billing period. Your cancellation will take effect at the next payment date, and you will retain access until the end of your paid period

Free Trial

We may offer free trials for PRO features. Trial terms will be specified at the time of offer. If you decide to unsubscribe before we start charging your payment method, you must cancel the subscription at least 48 hours before the expiration of the trial period by contacting us or through the Paddle billing portal. If we cannot charge your payment method for any reason and you have not cancelled, you remain responsible for any uncollected amounts.

Refund Policy

• Eligibility: You have the right to cancel within 14 calendar days from the day after completion of your initial subscription purchase
• How to Request: Contact Paddle directly through their billing portal or email us at evgeniy.kalenichenko@zohomail.eu with your cancellation request
• Processing Time: Paddle will reimburse all payments without undue delay, and not later than 14 days after being informed of your cancellation decision
• Refund Method: Refunds are processed using the same payment method as your initial transaction at no additional cost to you

Exceptions to Refund Right

Your right to cancel does not apply to:

• Digital content that you have started to download, stream or otherwise use
• Subscription renewals (refund rights apply only to the initial subscription purchase, not automatic renewals)
• Unused subscription periods (no refunds are provided for unused portions of subscription periods)

Consent to Immediate Performance

This means that once you begin using PRO features (such as Smart Coder mode or unlimited migrations), your 14-day cancellation right no longer applies, as you have received and begun using the digital content.

This refund policy is provided in accordance with Paddle's Consumer Terms as our Merchant of Record. Paddle reserves the right to refuse refunds if evidence of fraud, refund abuse, or other manipulative behavior is found.

Acceptable Use Policy

You agree to use ChatBridge AI only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities

• Violate any applicable laws, regulations, or third-party rights
• Use the Service to transmit illegal, harmful, or offensive content
• Attempt to reverse engineer, decompile, or disassemble the Service
• Circumvent usage limits, authentication mechanisms, or security features
• Use automated tools (bots, scripts) to access the Service beyond normal usage
• Interfere with or disrupt the Service or servers/networks connected to it
• Collect or harvest personal information from other users
• Use the Service to spam, phish, or distribute malware
• Impersonate any person or entity, or falsely state your affiliation
• Resell, redistribute, or sublicense access to the Service

ChatGPT Terms Compliance

You acknowledge that your use of ChatGPT through ChatBridge AI is subject to OpenAI's Terms of Use. You are responsible for complying with ChatGPT's terms and policies.

Intellectual Property Rights

Our Property

ChatBridge AI, including but not limited to the extension code, website, logos, designs, text, graphics, and other content, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

Your Content

You retain all rights to the ChatGPT conversations and content you process through ChatBridge AI. By using the Service, you grant us a limited license to:

• Temporarily process your conversation content to provide migration functionality
• Use aggregated, anonymized usage data to improve the Service

Important: As stated in our Privacy Policy, we do not permanently store your ChatGPT conversation content. All processing is real-time and temporary.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unlimited, irrevocable license to use such feedback without compensation or attribution.

Disclaimers

We disclaim all warranties, including but not limited to:

• Merchantability: That the Service is suitable for any particular purpose
• Accuracy: That content generated or migrated is accurate or error-free
• Availability: That the Service will be uninterrupted, secure, or error-free
• Compatibility: That the Service will work with all browser versions or ChatGPT updates
• Data Loss: That your data will not be lost or corrupted

No Liability for Third-Party Services

We are not responsible for:

• ChatGPT's availability, policies, or changes to its interface
• Google OAuth service interruptions or policy changes
• Paddle payment processing issues
• Your internet connection or browser compatibility

AI-Generated Content

The Service uses AI to process and optimize conversation context. AI-generated summaries may not be 100% accurate. You are responsible for reviewing and verifying all migrated content before use.

Limitation of Liability

This includes, but is not limited to, damages for:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Cost of substitute services
• Business interruption
• Personal injury or property damage

Our total liability to you for all claims arising from or related to the Service shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim, or
• $100 USD

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless ChatBridge AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including OpenAI's terms
• Your violation of applicable laws or regulations
• Content you process through the Service

Termination

Termination by You

You may terminate your use of the Service at any time by:

• Uninstalling the Chrome Extension
• Cancelling your PRO subscription (if applicable)
• Requesting account deletion via email

Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent activity or payment disputes
• Abuse of the Service or excessive usage beyond reasonable limits
• Legal or regulatory requirements
• Discontinuation of the Service

Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data in accordance with our Privacy Policy
• You remain liable for any outstanding fees or charges
• Sections of these Terms that by their nature should survive (e.g., disclaimers, limitations of liability) will remain in effect

Changes to Service and Terms

Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time
• Change usage limits, features, or pricing with reasonable notice
• Update the extension to maintain compatibility with ChatGPT or browser changes

We will make reasonable efforts to notify you of material changes via email or in-extension notifications.

Terms Updates

We may update these Terms from time to time. Changes will be effective:

• Immediately upon posting for non-material changes
• 30 days after notice for material changes that reduce your rights

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

Dispute Resolution and Governing Law

Governing Law

Specifically excluded from application to this Agreement is the law known as the United Nations Convention on the International Sale of Goods.

For Consumers resident in the United States: This Agreement and the relationship between you and ChatBridge AI, and all Transactions shall be governed by and construed under the laws of the State of New York, including its Uniform Commercial Code, without reference to conflict of laws principles.

For all other Consumers: This Agreement and the relationship between you and ChatBridge AI, and all Transactions shall be governed by the laws of England, without reference to conflict of laws principles.

If you are a Consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in this Agreement affects your rights as a Consumer to rely on such mandatory provisions of local law.

Informal Resolution

Before filing any formal claim, you agree to contact us at evgeniy.kalenichenko@zohomail.eu and attempt to resolve the dispute informally.

Arbitration

For US residents: Any dispute or claim arising out of or in connection with this Agreement or the performance, breach or termination thereof, shall be finally settled by binding arbitration in New York, NY under the Rules of Arbitration of the International Chamber of Commerce (ICC) by three arbitrators appointed in accordance with said rules. Judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may apply to any court of competent jurisdiction for injunctive relief without breach of this arbitration provision.

For all other residents: Any dispute or claim arising out of or in connection with this Agreement shall be finally settled by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC) by three arbitrators appointed in accordance with said rules. The arbitration shall be conducted in English.

Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChatBridge AI regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor strikes, or internet/infrastructure failures.
